Paramount Skydance's $111 billion acquisition of Warner Bros. Discovery did not close by Sept. 30. A federal judge approved a settlement between Paramount and a coalition of Democratic state attorneys general in the final days of September, clearing the last outstanding legal hurdle to the deal after regulators in roughly 68 jurisdictions, including the U.S. Department of Justice, had already signed off. With that settlement approved, Paramount and Warner Bros. Discovery set an anticipated closing date of Oct. 6, pushing the transaction past the Sept. 30 deadline in question. Under the deal terms, Paramount will pay $31 a share in cash for all outstanding Warner Bros. Discovery shares.

The delay meant Paramount kept accruing an estimated $7 million a day in financing and related costs tied to the pending transaction for several extra days. Fifty-four percent of Predict Six forecasters had expected the deal to close by Sept. 30, so the community leaned the wrong way; the settlement cleared in time, but a short administrative runway still pushed the actual close into the following week.
